         In connection with the Annual Report of Seamless Wi-Fi, Inc. (the
"Company") on Form 10-K for the period ending June 30, 2008 as filed with the
Securities and Exchange Commission on the date hereof (the "Report"), I, Albert
R. Reda, Chief Financial Officer of the Company, certify, pursuant to Rules
13a-14 and 15-d14 of the Securities Exchange Act of 1934 (the "Exchange Act"),
as adopted pursuant to ss.302 of the Sarbanes-Oxley Act of 2002, that:

1.       I have reviewed this Report;

2.       Based on my knowledge, this Report does not contain any untrue
         statement of a material fact or omit to state a material fact necessary
         to make the statements made, in light of the circumstances under which
         such statements were made, not misleading with respect to the period
         covered by this Report;

3.       Based on my knowledge, the financial statements, and other financial
         information included in this Report, fairly present in all material
         respects the financial condition, results of operations and cash flows

         most recent fiscal quarter (the Company's fourth fiscal quarter in the

         Company's auditors and to the audit committee of the Company's board of
