Nasdaq Listing Qualifications Panel has determined to transfer the listing of
the Company's securities to the Nasdaq SmallCap Market in a press release, a
copy of which is attached hereto as Exhibit 99.1 and incorporated herein by
reference.
On September 20, 2001, the Company announced a reduction in workforce in a press
release, a copy of which is attached hereto as Exhibit 99.2 and incorporated
herein by reference.
