Item 4.  Change in Registrant's Certifying Accountant.

     As of October 23, 2000, Access Network Corporation(the "Company")
accepted the resignation of David Coffey C.P.A. as the Company's certifying
accountant which was tendered on that same date. The Company has not yet
appointed a new certifying accountant.  There are no disagreements between the
Company and David Coffey C.P.A. with respect to any financial statements of
the Company or the presentation thereof for which David Coffey C.P.A. issued a
report. During the past two years, David Coffey C.P.A.'s reports on the
financial statements of the Company did not contain an adverse opinion or
disclaimer of opinion, nor were they modified as to uncertainty, audit scope,
or accounting principles.

     On October 23, 2000 the Company engaged Randy Simpson, CPA PC as its
certifying accountant.  The appointment of Randy Simpson CPA PC was
recommended and approved by the Company's Board of Directors.
