     The person who serves as the Chief Executive Officer and the Chief
     Financial Officer of G. S. & C., Inc., one of the Company's subsidiaries,
     has been out of town and unavailable, and the Company's Chief Financial
     Officer has not been able to obtain financial statement information from
     G. S. & C., Inc. to consolidate it with the Company's financial
     statements.

     LifeSmart Nutrition Technologies, Inc. anticipates reporting net sales of
     approximately $1,485,000 and a net loss of approximately $160,000 to
     $200,000 for the three months ended February 28, 2003 as compared to net
     sales of $1,259,487 and a net loss of $828,249 for the three months ended
     February 28, 2002.
