                            NARRATIVE

In June 1997, Earth Products and Technologies, Inc. ("EPAT") acquired a
primary subsidiary, Environmental Water Systems, Inc. ("EWS"), as a result of
such acquisition EWS experienced a change in management near the end of the
fiscal year 1997.  The new management of EWS has been unable to compile all
the documentation, accounting information and other information necessary to
prepare the subsidiary's annual report.  Without the EWS information EPAT is
unable to prepare its annual report on Form 10-KSB in a timely manner.
