The Company has just completed a major acquisition. Because of the
demands made of the accounting staff to complete this acquisition, they were
unable to close the books and records of the Company for the quarterly period
ended March 31, 2002 in sufficient time to file a complete and accurate Form
10-QSB on or before the due date.
