ITEM 5. OTHER EVENTS
Effective June 1, 2003, Glenn M. Grunewald has resigned as chief executive
officer and director of the company, in order to pursue other opportunities. The
board of directors has elected Gary A. Young to serve as chief executive officer
of the company on an interim basis.
