The Company has closed its books for the quarter ended March 31,
2004 and is in the process of completing its review of the numerous
capital and legal transactions, but will need more time to complete
its review. It is expected that the Company will file the Form 10-QSB
Report for the quarter ended March 31, 2004 on or before May 20, 2004.
