Item 5. Other Events.
On December 20, 2001, Hall, Kinion & Associates, Inc., a Delaware
corporation (the "Company"), announced preliminary fourth quarter financial
results for the quarter ended December 30, 2001. A copy of the Company's press
release is attached as Exhibit 99.1 hereto and incorporated by reference herein.
The press release filed as an exhibit to this report includes "safe
harbor" language pursuant to the Private Securities Litigation Reform Act of
1995, as amended, indicating that certain statements concerning, among other
things, the Company's expected financial performance for the fourth fiscal
quarter contained in the press release are "forward-looking" rather than
