         The Company only  recently  completed its audited  annual  December 31,
         2000,  financial  statements  reflecting the surrender of its principal
         assets in  foreclosure  effective  March and April 2000, and because of
         shortages  of  personnel,  has  encountered   unanticipated  delays  in
         reflecting such transaction in the current interim period.

       During  the  first  quarter  of 2000,  the  Company  had oil  production,
       refinery and  transportation  operations  that were  discontinued  in the
       second  quarter.  No financial  statements have yet been prepared for the
       first quarter of 2000.
