State below in reasonable detail the reasons why the Form 10-KSB, 11-K, 20-F,
10-QSB or N-SAR or portion thereof could not be filed within the prescribed
time:
On December 14, 2001 the Company acquired 100% of the issued and
outstanding shares of common stock of First National Data Bank, Inc.
Additionally, in connection with this transaction, the Company
underwent a change of control. As a result of these events, the Company
was unable to complete the Company's quarterly financial statement
without unreasonable effort and expense, thus delaying the filing.
