The Company has recently filed amended annual and quarterly reports
with the Commission. These amended filings were not contemplated by the Company
or its accounting firm and as a result the Company has not had sufficient time
to review the financial statements for the period ended November 30, 1998. The
Company does not anticipate any further delays in the filing of the quarterly
reports nor were there any material changes in the Company's operations.
