On September 23, 1998, the Company filed a Registration Statement on Form 10-SB with the Securities and Exchange Commission, which became effective on November 22, 1998. As a result of a review of the aforementioned registration statement by the staff of the Securities and Exchange Commission (the "Staff"), the Company has had discussions with the Staff during 1999 regarding certain accounting issues raised by the Staff. The Company does not expect that the resolution of the aforementioned accounting issues will have a material effect on the Company's consolidated financial position at December 31, 1998. In addition, the Company has recently encountered certain working capital shortages as a result of litigation with a supplier. As result of the aforementioned factors, the Company has incurred a delay in completing the information required to be included in its December 31, 1998 Form 10-KSB Annual Report. The Company expects to complete and file the December 31, 1998 Form 10-KSB Annual Report by April 15, 1999.
