State below in reasonable detail the reasons why the Form 10-KSB, 20-F, 11-K,
10-QSB or N-SAR or the transition report or portion thereof could not be filed
within the prescribed period.

     Autec Associates, Inc., a Florida corporation (the "Company") and its
independent public accountants, HJ & Associates, LLC, have been engaged in
preparing and auditing the Company's financial statements for fiscal year ended
December 31, 2002. In order to properly prepare the financial statements for
fiscal year ended December 31, 2002 and to ensure complete, thorough and
accurate disclosure of all material facts in its Annual Report on Form 10-KSB,
the Company is in need of additional time to compile the necessary information
and documentation. The Company's anticipates completion of the audit of its
financial statements and the filing of its Annual Report on Form 10-KSB by April
15, 2003.
