Item 8.  Change in Fiscal Year

At the Annual Meeting of the Board of Directors of the Registrant held on
July 27, 2000, the Registrant's fiscal year was changed from March 31 of each
year to December 31 of each year.  The transaction period will be reported on
Form 10-K for the year ending December 31, 2000.
