(3) Is it anticipated that any significant change in results of operations from
the corresponding period for the last fiscal year will be reflected by the
earnings statements to be included in the subject report or portion
thereof?

It is anticipated that the earnings statements to be included in the
subject report will reflect a significant change in the Company's results
of operations from the corresponding period for 2000. It is currently
believed that the events of September 11, 2001 resulted in a reduction in
the Company's revenue and EBITDA of approximately $2.5 million, for the
three month period ended September 30, 2001. In addition, during the three
month period ended September 30, 2001, the Company settled a dispute with
one of its long distance carriers, which had the effect of increasing
telecommunication expense for such period by approximately $0.5 million.
