to consolidate financials.

The request for an extension of time to file the Company's 10-Q due on November
14, 2000 is necessary due to a change in management and a change in accounting
services provider. Thus, the financial statments were not complete which
sufficient time to complete the 10-Q or the outside auditors enough time to
complete their review of the financial statements.
