(which subsequently changed its name to "Banknorth Delaware Inc."), a Delaware corporation and a wholly-owned subsidiary of Banknorth ("Banknorth Delaware"). Also as previously announced, in connection with the Agreement, TD, Banknorth and Banknorth Delaware entered into a Stockholders Agreement, dated as of August 25, 2004 (the "Stockholders Agreement"). On September 29, 2004, the parties amended and restated the Agreement and the Stockholders Agreement. The amendments generally were technical and clarifying in nature and are not believed to be material.
