DEREGISTRATION

On August 28, 1997, Solutia Inc. registered on a Registration
Statement on Form S-8 (file number 333-34589) 750,000 shares of Solutia
common stock (and associated Preferred Share Purchase Rights) in which
employee contributions could be invested under the Solutia Inc. Savings and
Investment Plan. Solutia also registered an indeterminate amount of plan
interests to be offered or sold under the plan. Since December 15, 2003,
participants in the plan have not been able to make investments in Solutia
common stock under the plan. On August 9, 2005, pursuant to a decision of
U.S. Trust Company, N.A., an independent fiduciary of the Solutia stock
funds under the plan, all Solutia stock remaining in the plan was liquidated
and the cash balances resulting from the liquidation were transferred to the
fixed income fund under the plan.

Because the plan has been amended so as no longer to permit
participants in the plan to invest their contributions in Solutia's common
stock, the Company hereby removes from registration all plan interests and
shares of Solutia common stock (and associated Preferred Share Purchase
Rights) registered on August 28, 1997, that have not been sold pursuant to
the plan.
