(b)  On January 31, 2007, Philip R. Lochner Jr., a member of the Board of
     Directors of Solutia Inc., submitted his resignation as a director
     effective as of January 31, 2007. Mr. Lochner's decision to resign as a
     director was not due to any disagreement with Solutia Inc. on any matter
     relating to its operations, policies or practices.
