     State below in reasonable detail the reasons why the Form 10-K, 11-K, 10-Q,
N-SAR, or the transition  report or portion  thereof,  could not be filed within
the prescribed time period. (Attach Extra Sheets if Needed)

     The registrant has recently  changed its fiscal year, from a year ending on
December  31 to a year  ending on  September  30. This change in fiscal year has
required its executive  officers and employees to devote  substantial effort and
expense to preparing a transitional  report on Form 10-KSB which otherwise would
have been devoted to the  preparation and filing of the  registrant's  Quarterly
Report on Form 10-QSB for the quarter ended  December 31, 2002. For such reason,
the subject Form 10-QSB could not be filed within the prescribed period.

     Preliminary  results of operations  for the three months ended December 31,
2002  reflect a net loss of  approximately  ($35,000)  compared to net income of
$23,000 for the three months ended December 31, 2001.  These results are subject
to further review and adjustment.
