The Company executed its Software Licensing Agreement for the C4X Encryption and
compression Software with M-Cube Corporation, Asia Glove, Inc. The Agreement
provides for the Company to issue 500,000 shares of restricted common stock and
to pay 50% of the licensing fees (less direct expenses) received by the Company
for the use of Software. The term of the Agreement is five years, and extends
for the United States and its territories.
