Larry O'Donnell, CPA was engaged as auditors for Company on June 12, 2007. The change of accountants was approved by the Board of Directors. No audit committee exists other than the members of the Board of Directors. In connection with Stonefield Josephson's audit of the Company's financial statements for the fiscal years ended December 31, 2002 and 2001 and the cumulative period of January 1, 2001 through December 31, 2002 and through the date of their termination, there were no disagreements with Stonefield Josephson on any matter of accounting principles or practices, financial statement disclosure, or auditing scope or procedure, which disagreements if not resolved to the satisfaction of Stonefield Josephson, would have caused them to make reference in connection with their report to the subject of the disagreement(s). The audit report by Stonefield Josephson, Inc. for the years ended December 31, 2002 and 2001 and for the cumulative period of January 1, 2001 though December 31, 2002 (the latest report issued by Stonefield Josephson), included an explanatory paragraph expressing substantial doubt as to the Company's ability to continue as a going concern.
