Item 8.01. Results of Operations and Financial Condition.
On September 16, 2011 Gulfstar Energy Group, LLC a wholly owned subsidiary
of Gulfstar Energy Corp. announced today that the company has entered into a
letter of intent with B&T Energy Group, LLC to create a new venture that will
allow both companies to expand their midstream assets natural gas production
operations. A copy of the Press Release is furnished as Exhibit 99.1.
