The Registrant's Annual Report on Form 10-KSB for the fiscal year ended March
31, 2001 could not be filed within the prescribed time period because the
finanical statements could not be prepared by the Company within such time
period due to the accounting firm being unable to complete the audit without
unreasonable effort and expense.
