The Registrant's Quarterly Report on Form 10-QSB for the quarter ended June 30,
2001 could not be filed within the prescribed time period because the finanical
statements could not be prepared by the Company within such time period due to
the accounting firm being unable to complete the review without unreasonable
effort and expense.
