Because of the election/appointment of a new management team, the merging of
information from newly-acquired subsidiaries and the logistical issues
associated with the geographical constraints of business operations within the
People's Republic of China, additional time is needed to ensure accurate
preparation of the Annual Report on Form 10-KSB for the fiscal year ended
December 31, 2005.
