On December 12, 2006, Mr. Harvey Blomberg provided the Corporation with e-mail notice of his resignation from its Board of Directors and its audit committee citing both his inability to support the shareholders' choice to convert Capital Alliance Income Trust to a self advised real estate investment trust and his ongoing health issues. On October 18, 2006, at the Corporation's Annual Shareholder Meeting, approximately 90% of the shareholders voted approval of a proposal to convert CAIT to a self advised real estate investment trust.
