The Registrant is unable to file its Quarterly Report on Form 10-Q for
the quarter ended September 30, 2001 within the prescribed time period
without unreasonable effort and expense as due to the accounting
of and for the recent acquisition that has delayed the timely
preparation of the quarterly financial statements.
