Item 5. Other events.
Mssrs. Lorne Torhjelm and Sieg Deckert have resigned from the Company's Board of
Directors. Mr. Torhjelm's resignation was effective February 22, 2002. Mr.
Deckert's resignation was effective February 25, 2002.
