The registrant is unable to file its Quarterly Report (the "Quarterly Report") on Form 10-QSB for
its fiscal quarter ended April 30, 2006 by the prescribed date of June 15, 2006 due to a delay
with finalizing its results of operations for such period as management was unable to obtain
certain information required for the preparation of the results of operations in a timely manner.
The registrant intends to file the Quarterly Report on or prior to the prescribed extended date.
