Item 5. First Aviation Services Announces the Acquisition of Regional
Distribution Centers and Worldwide Distribution Agreement
On August 3, 2001 First Aviation Services Inc. issued a press
release announcing the acquisition of five regional distribution centers from
Superior Air Parts, Inc., and that its subsidiary, Aerospace Products
International Inc. will be appointed a worldwide distributor for Superior's line
of FAA replacement parts for Lycoming and Continental aircraft engines. A copy
of the press release, exhibit 99.2, is attached and incorporated by reference.
