On August 31, 2005, each of SHC Michigan Avenue, LLC and SHC Chopin Plaza, LLC executed the Amendment to Loan Agreement with German American Capital Corporation, as lender (the "Amendment to Loan Agreement"). The Amendment to Loan Agreement amends the Loan Agreement, dated as of April 1, 2005 (the "Loan Agreement") by, among other things, deleting the definition of "Spread" in the Loan Agreement in its entirety and instead defining "Spread" as 1.46093750%. On August 31, 2005, each of SHC Michigan Avenue Mezzanine I, LLC and SHC Chopin Plaza Mezzanine I, LLC executed the Amendment to First Mezzanine Loan Agreement with German American Capital Corporation, as lender (the "Amendment to First Mezzanine Loan Agreement"). The Amendment to First Mezzanine Loan Agreement amends the First Mezzanine Loan Agreement, dated as of April 1, 2005 (the "First Mezzanine Loan Agreement") by, among other things, deleting the definition of "Spread" in the First Mezzanine Loan Agreement in its entirety and instead defining "Spread" as 1.76666667%. On August 31, 2005, each of SHC Michigan Avenue Mezzanine II, LLC and SHC Chopin Plaza Mezzanine II, LLC executed the Amendment to Second Mezzanine Loan Agreement with German American Capital Corporation, as lender (the "Amendment to Second Mezzanine Loan Agreement"). The Amendment to Second Mezzanine Loan Agreement amends the Second Mezzanine Loan Agreement, dated as of April 1, 2005 (the "Second Mezzanine Loan Agreement") by, among other things, deleting the definition of "Spread" in the Second Mezzanine Loan Agreement in its entirety and instead defining "Spread" as 3.0000%.
