Part III -- Narrative State below in reasonable detail the reasons why Forms 10-K, 20-F, 11-K, 10-Q, N-SAR, or the transition report, or portion thereof, could not be filed within the prescribed time period. CD&L, Inc. (the "Company") is unable to file its quarterly report on Form 10-Q for the period ended March 31, 2001 within the time period prescribed for such report without unreasonable effort or expense. On March 30, 2001, the Company consummated a transaction providing for the sale of certain assets and liabilities of Sureway Air Traffic Corporation, Inc., its air delivery business. As a result of this transaction, the Company is required to reclassify the activities of the air delivery business as discontinued operations in its prior year financial statements. Operating income, on a comparable basis, for the three months ended March 31, 2001 will be approximately $2,200,000 higher than the operating income reported for the three months ended March 31, 2000. This variance is due to both an improvement in profit margin as well as decreased selling, general and administrative expenses. The decrease in cost of revenue is mainly due to the Company's efforts to eliminate less profitable business. The decrease in selling, general and administrative expenses is primarily attributable to ongoing efforts to reduce and better control such costs and certain non-recurring items recorded during the first quarter of 2000.
