ITEM 2. ACQUISTION OR DISPOSITION OF ASSETS
On October 21, 2001, we agreed to acquire substantially all of the
assets of Compuquest, Inc., a Canadian corporation, in exchange for assuming
Compuquest's liabilities in the amount of $292,402. The acquisition will be
effected in accordance with the terms of an Agreement of Purchase and Sale
dated as of October 21, 2003 between us and Compuquest. We expect the
transaction to close on or before October 31, 2003.
The description of the transaction contained herein is qualified in
its entirety by reference to the Agreement of Purchase and Sale (Exhibit 10.1)
which is incorporated by reference.
