ITEM 1.02  TERMINATION OF A MATERIAL DEFINITIVE AGREEMENT.

On January 10, 2006, we entered into an agreement with Norman Drolet and Ettore
Naccarato, 2Film Technologies Inc. and Island Corporation to purchase all of
the issued and outstanding shares of Island Corporation stock in exchange for
$2,311,536 (Canadian dollars).   The purchase price was to be paid in a
combination of 1,060,000 shares of our restricted stock, $1,100,000 in cash
and a promissory note for $400,000.   The promissory note paid no interest
and was to be paid as follows: $100,000 on or before January 20, 2006 and
the remaining $300,000 paid in twelve equal payments starting on March 31, 2006
and continuing monthly until paid in full by March 31, 2007.

On February 21, 2007 we paid the promissory note in full in advance of its
due date.
