ITEM 5.02 DEPARTURE OF DIRECTORS OR CERTAIN OFFICERS; ELECTION OF
DIRECTORS; APPOINTMENT OF CERTAIN OFFICERS; COMPENSATORY
ARRANGEMENTS OF CERTAIN OFFICERS
(a) On January 3, 2007, Russell S. Molina notified KSW, Inc.
("the Company") of his decision to resign from his position as Director of the
Company, effective immediately. Mr. Molina advised the Company that his
resignation was for personal reasons, having nothing to do with the operations,
policies or practices of the Company.
