     Registrant has been unable to complete the preparation of its 10-K for the
fiscal year ended December 31, 2002 because of unavoidable delays in finalizing
negotiations with the Company's lenders regarding revised bank loan covenants.
The ultimate results of such negotiations will affect the presentation of the
Company's financial statements and related footnotes.

         It is anticipated that the earnings statement of the Registrant will
report a net loss of approximately $33.5 million for the twelve months ended
December 31, 2002 as compared to a net loss of approximately $1,990,000 for the
twelve months ended December 31, 2001. The majority of the net loss in 2002
relates to the Company's transitional impairment charge of $21.8 million (net of
taxes) in the second quarter of 2002 to reflect the implementation of SFAS 142
and the loss from discontinued operations of $6.4 million (net of tax) recorded
for the disposition of Park Structures.
