The annual report of the registrant on Form 10-KSB could not be filed
because management requires additional time to compile and verify the
data required to be included in the report. The report will be filed
within fifteen days of the date the original report was due.

The registrant has generated limited or no revenue in either the current
or the prior fiscal year. Because of this lack of revenue and funding,
the registrant has significantly curtailed operations during the current
fiscal year, as compared to the prior fiscal year. Therefore, the
registrant anticipates its expenses and net loss will be reduced by
approximately 60%. The registrant anticipates this reduction in
expenses and net loss will result in $0.00 net loss per share compared
to a net loss per share of $0.01 during the fiscal year ended December
31, 2003.
