VANCOUVER,  CANADA - HILTON  RESOURCES LTD.  (TSXV-HPM AND OTCBB-HPMOF) Mr. Nick
DeMare wishes to announce his resignation as President of Hilton  Resources Ltd.
effective  immediately  and is pleased to announce  that Mr. Des O'Kell has been
appointed President. Mr. DeMare will continue as a director of the Company.

Mr.  O'Kell  has 16  years  operations  and  finance  experience  in the  public
marketplace.  Since 1998 Mr. O'Kell has headed the firm Eland Jennings  Investor
Services which enjoyed the success of providing  consulting  services to a range
of private and publicly traded  corporations  seeking  financings,  listings and
communications to the investment community.  Mr. O'Kell stated " I am pleased to
take on this  assignment  and will  continue with efforts to identify a resource
property of merit."

Hilton Resources Limited,  incorporated in British Columbia,  Canada,  trades on
the TSX Venture  Exchange under the symbol "HPM",  and on the OTCBB under symbol
"HPMOF".  The Company's directors are experienced in the resource sector and are
focused on  enhancing  shareholder  value by expanding  Hilton's  assets in this
sector.  Management  aims to identify  exploration  projects of high merit,  and
