NEWS RELEASE                                                   DECEMBER 15, 2005


                           PRIVATE PLACEMENT INCREASE

VANCOUVER,  CANADA - ROCHESTER  RESOURCES LTD. (TSXV: RCT AND OTCBB:  RCTFF) The
Board of Directors is pleased to announce that the private  placement  announced
on November 25, 2005 has been  increased  from  2,500,000  to  3,500,000  units,
3,000,000 units of which will be placed by Canaccord Capital  Corporation.  Each
unit  consists  of one  share  and a  half  warrant,  with  each  whole  warrant
exercisable at $0.65 for a term of two years. In addition to a corporate finance
fee,  Canaccord will receive a fee of 10% in cash and 5% in agent unit warrants.
All warrants will contain a forced conversion  provision which comes into effect
once the shares  trade in excess of $1.00 per share for 10  consecutive  trading
days.

the TSX Venture  Exchange under the symbol "RCT",  and on the OTCBB under symbol
"RCTFF".
