State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-SAR,
N-CSR, or the transition report or portion thereof, could not be filed within
the prescribed time period.
We are unable to file, without unreasonable effort and expense, our Form 10QSB
Quarterly Report for the quarter ended June 30, 2005 because we, including our
small accounting staff, have devoted substantial time and effort to recent
business matters related to obtaining additional funding for the Company. We
anticipate that our Form 10-QSB Quarterly Report, together with our unaudited
financial statements, will be filed on or before the 5th calendar day following
the prescribed due date of our Form 10-QSB.
