file its Form 10-K for such fiscal year.

EXPLANATION SUPPORTING PART IV, ITEM 3

The Company expects to report net sales of approximately $7,350,000 for the
fiscal period ended July 31, 2005 as compared to net sales of $6,091,000 for the
fiscal period ended July 31, 2004. The Company estimates that it will report net
income of $270,000 for the fiscal period ended July 31, 2004, as compared to a
net income of $45,000 for the fiscal period ended July 31, 2004.
