Item 8.01 Other Events On May 20, 2005 Ken Groove, a supplier of animated motion pictures, filed a complaint against the Registrant in the Los Angeles County Superior Court. The dispute relates to certain distribution agreements allegedly entered into by the Registrant and the plaintiff for the purchase of licenses to distribute the home video, television and pay per view rights for various animated motion pictures provided by the plaintiff. The plaintiff seeks recovery of $292,000. The plaintiff filed an Application for a Right to Attach Order and Writ of Attachment seeking to attach assets in the amount of $292,000. On November 16, 2005, the plaintiff's application was granted.
