Part III. Narrative

Part I, Item 1 (Financial Statements and Exhibits) of the Company's Form 10-QSB
for the three months ended March 31, 2006 could not be filed within the
prescribed period because of difficulties in correctly booking the transactions
associated with the sale of the Company's AdValiant and Mail Mogul subsidiaries.
This problem could not have been eliminated by the registrant without
unreasonable effort or expense. As a result, Part I, Item 2 (Management
Discussion & Analysis) also could not be completed.

(3) Is it anticipated that any significant change in results of operations from
the corresponding period for the last fiscal year will be reflected by the

If so, attach an explanation of the anticipated change, both normatively and
quantitatively, and, if appropriate, state the reasons why a reasonable estimate
of the results cannot be made.

      During the first quarter of 2006 the company sold off its Mail Mogul, Inc
subsidiary. The comparison from year to year will be impacted as a result of
this factor. At the end of the first quarter of 2005 the company had a
consolidated loss from Operations of $292,000 compared with an expected $350,000
loss for the same period in 2006. The decline in the bottom line can be
attributed to a decline in Revenues. Net Consolidated Loss for the first quarter
of 2006 was approximately $174,000 compared with an expected loss for the same
period in 2005 of $332,000. The major contributing factor to the improvement
from 2005 to 2006 was from a gain from Discontinued Operations.
