prescribed time period.

The Company acquired new management during the quarter ended June 30, 2006,
entered into compensatory arrangements with new management, acquired certain oil
and gas properties, and changed its registered certified public accountants.
Addressing these and related matters will require additional time to file the
Registrant's Form 10-Q. The Form 10-Q will be filed within the permitted
extension period.

The Registrant's net loss from operations is expected to increase substantially
for the quarter ended June 30, 2006 as compared to the quarter ended June 30,
2005 resulting from its recently expanded operational activities. The total
amount cannot be estimated with certainty because the amount of possible
non-cash changes to operations resulting from the application of SFAS No. 123R
are being determined.
