The Annual Report on Form 10-K for the fiscal year ended December 31, 2006 (the "Form 10-K") cannot be filed within the prescribed time period because the Registrant needs additional time to finalize accounting for certain aspects of its business with Humana. This delay could not be eliminated by the Registrant without unreasonable effort or expense. The Registrant expects that the Form 10-K will be filed within fifteen calendar days of the prescribed due date.
