The decision to dismiss CBN was considered and approved by the Board of Directors of the Company. CBN had acted as independent auditor for the Company prior to the Company's reorganization in April 1, 2004 and the reasons for CBN's dismissal are unrelated to any disagreements between the Company and CBN on matters of accounting principles, financial statement disclosure or auditing scope or procedures. CBN's reports on the Company's consolidated financial statements for each of the past two fiscal years did not contain an adverse opinion or disclaimer of opinion, nor were such reports qualified or modified as to uncertainty, audit scope or accounting principles, except that their reports for the past two fiscal years each contained an explanatory paragraph regarding the substantial doubt about the Company's ability to continue as a going concern. During each of our two most recent fiscal years and through the date of this report, there were: (i) no disagreements with CBN on any matter of accounting principle or practice, financial statement disclosure, or auditing scope or procedure which, if not resolved to CBN's satisfaction, would have caused him to make reference to the subject matter in connection with their report on our consolidated financial statements for such years; and (ii) there were no reportable events as defined in Item 304(a)(1)(v) of Regulation S-K.
