Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers On February 22, 2005, the Board of Directors (the "Board") of the Company elected John P. Kelley to the Board. Mr. Kelley has been the Company's President and Chief Operating Officer since December 1, 2004. On February 22, 2005, James E. Thomas, a member of the Board since September 1996, announced his resignation from the Board. Mr. Thomas was a member of the Compensation Committee of the Board. Item 9.01.
