Item 2.02 Results of Operations and Financial Condition.
On February 24, 2005, Inamed Corporation (the "Company") issued a press
release announcing its financial results for fourth fiscal quarter and full year
ended December 31, 2004. A copy of the press release is attached hereto as
Exhibit 99.1.
